This License Agreement (“License”) describes the rights granted to you when you use Realyze (“Realyze,” “we,” or “us”) and the reports, scorecards, PDF exports, and other outputs the Service produces (“Outputs”). This License is incorporated into and supplements the Terms of Service. Capitalized terms not defined here have the meanings given in the Terms of Service.
1. Access Tiers
Your rights under this License depend on your current access tier, as defined in the Terms of Service:
- Free. Account holders without a paid subscription or beta entitlement. Free users have a license limited to the Fix & Flip calculator and educational content.
- Premium. Active paid subscribers (monthly or annual). Premium users have a license covering every deal model, saved deals, PDF exports, and deal comparison.
- Beta. Users with a valid, non-revoked beta invite. Beta users have a license equivalent in scope to Premium for the duration of the beta program.
Your tier is determined at the time you use a feature. If your subscription expires, lapses for non-payment, is canceled, or your beta access is revoked, your license automatically narrows to the Free tier without further notice.
2. Grant of License
Subject to your ongoing compliance with this License and the Terms of Service, and only for as long as you remain on a tier that includes a given feature, Realyze grants you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:
- access and use the Service for your own real estate analysis, within the features included in your current tier;
- generate Outputs based on inputs you supply and use those Outputs internally for your own investment decisions, due diligence, and recordkeeping; and
- share individual Outputs (such as a single PDF report) with counterparties involved in a specific transaction (e.g., lenders, partners, accountants), provided the Output is not materially altered and the Realyze attribution is preserved.
Outputs created while on a paid or beta tier. Individual PDFs you downloaded and saved locally while you had a valid Premium or Beta entitlement may be retained and shared with counterparties on the transaction they relate to, subject to Sections 3 and 4, even if your subscription later ends. This survival right does not extend to generating new Outputs from the Service after your tier changes.
3. Reservation of Rights
Realyze and its licensors retain all right, title, and interest in and to the Service, including the calculators, scoring rubrics, sensitivity logic, scorecard designs, branding, and underlying software. No license is granted by implication, estoppel, or otherwise other than the rights expressly stated in this License. Paid subscription fees buy access to the Service; they do not buy or transfer ownership of the Service, its Outputs, or any intellectual property therein.
4. Restrictions
You will not, and will not permit any third party to:
- copy, modify, translate, or create derivative works of the Service or its Outputs, except as necessary to use them as permitted in Section 2;
- distribute, sublicense, lease, sell, or otherwise transfer the Service or its Outputs to third parties, including by bundling the Outputs into a competing underwriting product or subscription;
- share, resell, or transfer your account, your paid subscription, or any beta invite code;
- circumvent, disable, or interfere with subscription gating, metering, or tier enforcement, or access paid features without a valid entitlement;
- remove or obscure any proprietary notice, attribution, or branding included in the Service or its Outputs;
- use the Service to build a competing product or to train any machine-learning model;
- reverse engineer, decompile, or disassemble the Service, except to the extent applicable law prohibits this restriction;
- use the Service for high-risk activities where failure or inaccuracy could lead to death, personal injury, or significant environmental damage; or
- represent any Output as having been independently verified, audited, or endorsed by a third party.
5. Outputs & Accuracy
Outputs are generated from the inputs you supply and from simplifying calculation conventions used by Realyze. They are informational and are not financial, investment, legal, tax, or accounting advice. Real-world results will differ. You are solely responsible for verifying Outputs independently and for any decisions you make based on them.
6. Your Content
You retain ownership of the inputs and notes you submit. You grant Realyze a worldwide, non-exclusive, royalty-free license to host, store, transmit, and process Your Content solely as necessary to provide and improve the Service. We do not sell Your Content. If your subscription ends or you delete your account, we may retain Your Content for a limited period as described in the Terms of Service, after which it may be permanently deleted.
7. Feedback
If you provide suggestions, ideas, or feedback regarding the Service (“Feedback”), you grant Realyze a perpetual, irrevocable, worldwide, royalty-free license to use the Feedback for any purpose without obligation to you.
8. Term & Termination
This License is effective when you accept it (including by using the Service) and continues until terminated. The license granted in Section 2 for any given feature lasts only as long as you are on a tier that includes that feature.
This License terminates automatically and without notice if you fail to comply with any of its terms, if your paid subscription is canceled or lapses for non-payment, or if your beta access is revoked. Upon any such termination of paid or beta entitlements, you must stop using features outside the Free tier; upon a full termination of this License you must stop using the Service entirely and destroy any locally retained Outputs that include Realyze trademarks or attribution. Sections 3, 4, 5, 7, 9, 10, and 11 survive termination.
9. Disclaimers
THE SERVICE AND OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND. REALYZE DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF DATA OR CALCULATIONS. PAID SUBSCRIPTION FEES DO NOT CREATE ANY ADDITIONAL WARRANTIES BEYOND THOSE EXPRESSLY STATED IN THE TERMS OF SERVICE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REALYZE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR INVESTMENT VALUE, ARISING FROM OR RELATING TO THE SERVICE OR THE OUTPUTS. THIS SECTION DOES NOT LIMIT LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW. THE LIMITATIONS IN THE TERMS OF SERVICE, INCLUDING THE AGGREGATE LIABILITY CAP, ALSO APPLY TO THIS LICENSE.
11. Miscellaneous
This License, together with the Terms of Service, is the entire agreement between you and Realyze regarding the Service and supersedes any prior understandings. If any provision is found to be unenforceable, the remaining provisions remain in effect. We may update this License from time to time; continued use of the Service after changes take effect constitutes acceptance. For paying subscribers, changes that materially reduce your rights will not take effect for your current paid period until that period ends.
